Public Agreement (Offer) <\/p>

<\/p>

for the ordering, purchase and delivery of goods <\/p>

<\/p>

This Agreement is an official and public offer by the Seller to conclude a contract for the sale and purchase of Goods presented on the website https:\/\/autocoretuning.com\/. This Agreement is public, meaning that, in accordance with Article 633 of the Civil Code of Ukraine, its terms are \u043e\u0434\u0438\u043d\u0430\u043a\u043e\u0432\u0456 for all buyers regardless of their status (individual, legal entity, individual entrepreneur), without granting preference to one buyer over another. By entering into this Agreement, the Buyer fully accepts the terms and procedures for placing an order, payment for goods, delivery of goods, return of goods, liability for bad-faith orders, and all other terms of the Agreement. The Agreement is considered concluded from the moment the Buyer clicks the \u201cConfirm Order\u201d button on the checkout page in the \u201cCart\u201d section and receives electronic confirmation of the order from the Seller. <\/p>



<\/p>

  1. Definitions <\/li><\/ol>


    1.1. Public Offer (hereinafter referred to as the \u201cOffer\u201d) \u2014 a public proposal by the Seller addressed to an indefinite number of persons to enter into a distance sales contract (hereinafter referred to as the \u201cAgreement\u201d) with the Seller under the terms set out in this Offer.<\/p>

    <\/p>

    1.2. Goods or Service \u2014 the subject of the parties\u2019 transaction, selected by the Buyer on the Online Store website and placed in the cart, or already purchased by the Buyer from the Seller remotely.<\/p>

    <\/p>

    1.2. Online Store \u2014 the Seller\u2019s website at https:\/\/autocoretuning.com\/, created for concluding retail and wholesale sale and purchase agreements based on the Buyer\u2019s \u043e\u0437\u043d\u0430\u043a\u043e\u043c\u043b\u0435\u043d\u043d\u044f with the description of the Goods offered by the Seller via the Internet. <\/p>

    <\/p>

    1.3. Buyer \u2014 a legally capable individual who has reached the age of 18, receives information from the Seller, and places orders to purchase Goods presented on the Online Store website for purposes not related to business activities, or a legal entity or individual entrepreneur. <\/p>

    <\/p>

    1.4. Seller \u2014 Individual Entrepreneur \u201cMykhalchyshyn Dmytro Volodymyrovych\u201d (identification code 3043515715), a legal entity established and operating in accordance with the current legislation of Ukraine, with its registered address: Brovary city, Chornovola St. 2a, apt. 68, 07400.<\/p>



    <\/p>

    1. Subject of the Agreement<\/li><\/ol>


      2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement. <\/p>


      2.2. The date of conclusion of the Offer Agreement (acceptance of the offer) and the moment of full and unconditional acceptance by the Buyer of the terms of the Agreement shall be the date on which the Buyer completes the order form located on the Online Store website, provided that the Buyer receives electronic order confirmation from the Seller. If necessary, at the Buyer\u2019s request, the Agreement may be executed in written form. <\/p>



      <\/p>

      1. Order Placement<\/li><\/ol>

        <\/p>

        3.1. The Buyer independently places an order in the Online Store via the \u201cCart\u201d form, or by placing an order via email or by phone number specified in the Online Store\u2019s contact section. <\/p>

        <\/p>

        3.2. The Seller has the right to refuse to deliver the order to the Buyer if the information provided by the Buyer when placing the order is incomplete or raises doubts regarding its accuracy or authenticity.<\/p>

        <\/p>

        3.3. When placing an order on the Online Store website, the Buyer undertakes to provide the following mandatory information required by the Seller to fulfill the order: <\/p>

        3.3.1. surname and first name of the Buyer; <\/p>

        3.3.2. delivery address for the Goods (if delivery is to the Buyer\u2019s address); <\/p>

        3.3.3. contact phone number. <\/p>

        3.3.4. identification code for a legal entity or an individual entrepreneur.<\/p>

        <\/p>

        3.4. The name, quantity, item code, and price of the Goods selected by the Buyer are specified in the Buyer\u2019s shopping cart on the Online Store website.<\/p>

        <\/p>

        3.5. If either Party to the Agreement requires additional information, they have the right to request it from the other Party. In case the Buyer fails to provide the necessary information, the Seller shall not be liable for the proper provision of services to the Buyer in connection with the purchase of goods in the Online Store. <\/p>

        <\/p>

        3.6. When placing an order through the Seller\u2019s operator (clause 3.1 of this Offer), the Buyer undertakes to provide the information specified in clauses 3.3\u20133.4 of this Offer. <\/p>

        The Buyer\u2019s acceptance of the terms of this Offer is carried out by entering the relevant data into the registration form on the Online Store website or when placing an Order through the operator. After placing an Order through the Operator, the Buyer\u2019s data is entered into the Seller\u2019s database. <\/p>

        <\/p>

        3.7. The Buyer is responsible for the accuracy of the information provided when placing the Order. <\/p>

        <\/p>

        3.8. By entering into the Agreement, i.e., accepting the terms of this offer (the proposed terms of purchasing the Goods) by placing an Order, the Buyer confirms the following:<\/p>

        a) the Buyer has fully and completely reviewed and agrees with the terms of this offer (Offer); <\/p>

        <\/p>

        b) the Buyer grants permission for the collection, processing, and transfer of personal data. This permission for personal data processing is valid for the entire term of the Agreement, as well as for an unlimited period after its termination.
        In addition, by entering into the Agreement, the Buyer confirms that they have been informed (without additional notice) about the rights established by the Law of Ukraine \u201cOn Personal Data Protection\u201d, the purposes of data collection, and that their personal data is transferred to the Seller for the purpose of fulfilling the terms of this Agreement, enabling mutual settlements, and issuing invoices, acts, and other documents.
        The Buyer also agrees that the Seller has the right to provide access to and transfer their personal data to third parties without any additional notice to the Buyer for the purpose of fulfilling the Buyer\u2019s order.
        The scope of the Buyer\u2019s rights as a personal data subject under the Law of Ukraine \u201cOn Personal Data Protection\u201d is known and understood by the Buyer. <\/p>

        <\/p>

        1. Price and Delivery of Goods<\/li><\/ol>

          <\/p>

          4.1 Prices for Goods and services are determined by the Seller independently and are indicated on the Online Store website. All prices for Goods and services listed on the website are shown in Ukrainian hryvnia, including VAT. <\/p>

          <\/p>

          4.2 Prices for Goods and services may be changed by the Seller unilaterally depending on market conditions. However, the price of a specific unit of Goods that has been fully paid for by the Buyer may not be changed by the Seller unilaterally. <\/p>

          <\/p>

          4.3. The cost of the Goods indicated on the Online Store website does not include the cost of delivery to the Buyer. The Buyer shall pay the delivery cost in accordance with the current rates of the delivery service (carrier) directly to the selected delivery service (carrier). <\/p>

          <\/p>

          4.4. The cost of the Goods indicated on the Online Store website does not include the cost of delivering the Goods to the Buyer\u2019s address.<\/p>

          <\/p>

          4.5. The Seller may indicate the approximate cost of delivering the Goods to the Buyer\u2019s address upon the Buyer\u2019s request, by sending an email to the Seller or when placing an order through the Online Store operator. <\/p>

          <\/p>

          4.6. The Buyer\u2019s payment obligations for the Goods shall be considered fulfilled from the moment the Seller receives the funds into its bank account. <\/p>

          <\/p>

          4.7. Payments between the Seller and the Buyer for the Goods are made using the methods specified on the Online Store website in the \u201cPayment and Delivery\u201d section.<\/p>

          <\/p>

          4.8. When receiving the Goods, the Buyer must, in the presence of the delivery service (carrier) representative, verify that the Goods correspond to the quality and quantity characteristics (product name, quantity, completeness, and expiration date).<\/p>


          4.9. The Buyer or their representative, upon acceptance of the Goods, confirms by signature on the sales receipt and\/or order form and\/or transport waybill for the delivery of the Goods that they have no claims regarding the quantity, appearance, or completeness of the Goods. <\/p>

          <\/p>

          4.10. Ownership rights and the risk of accidental loss or damage to the Goods shall pass to the Buyer or their Representative from the moment the Goods are received by the Buyer at the delivery location in case of self-pickup from the Seller, or at the moment the Seller transfers the Goods to the delivery service (carrier) selected by the Buyer. <\/p>



          <\/p>

          1. Rights and Obligations of the Parties<\/li><\/ol>

            <\/p>

            5.1. The Seller is obliged to:
            5.1.1. Transfer the Goods to the Buyer in accordance with the terms of this Agreement and the Buyer\u2019s order.
            5.1.2. Not disclose any private information about the Buyer or provide access to such information to third parties, except in cases provided for by law and when fulfilling the Buyer\u2019s Order.<\/p>

            <\/p>

            5.2. The Seller has the right to:
            5.2.1. Amend the terms of this Agreement, as well as the prices for Goods and services, unilaterally by publishing them on the Online Store website. All changes become effective from the moment of their publication. <\/p>

            <\/p>

            5.3 The Buyer undertakes to:
            5.3.1. Prior to concluding the Agreement, review the content of the Agreement, its terms, and the prices offered by the Seller on the Online Store website.
            5.3.2. In order for the Seller to fulfill its obligations to the Buyer, provide all necessary data that clearly identifies the Buyer and is sufficient for the delivery of the ordered Goods to the Buyer. <\/p>

            <\/p>

            1. Return of Goods<\/li><\/ol>

              <\/p>

              6.1. The Buyer has the right to return non-food goods of satisfactory quality to the Seller if the goods do not meet their expectations in terms of shape, size, style, color, or other reasons that prevent their intended use. The Buyer has the right to return goods of satisfactory quality within 14 (fourteen) days, excluding the day of purchase. The return of goods of satisfactory quality is accepted if the goods have not been used and if their commercial appearance, consumer properties, packaging, seals, tags, as well as the payment receipt issued to the Buyer, are preserved. The list of goods that cannot be returned for reasons specified in this paragraph is approved by the Cabinet of Ministers of Ukraine. <\/p>

              <\/p>

              6.2. The refund of the value of goods of satisfactory quality to the Buyer is made within 30 (thirty) calendar days from the moment the Seller receives the returned Goods, provided that the requirements specified in paragraph [insert relevant number] are met. 6.1. of the Agreement and the current legislation of Ukraine. <\/p>

              <\/p>

              6.3. The cost of the goods shall be refunded via bank transfer to the Buyer\u2019s account. <\/p>

              <\/p>

              6.4. The return of goods of satisfactory quality to the Seller\u2019s address is carried out at the Buyer\u2019s expense, and the Seller will not reimburse the Buyer for the return shipping costs. <\/p>

              <\/p>

              6.5. In case defects in the Goods are found within the established warranty period, the Buyer has the right to file claims with the Seller personally, in the manner and within the timeframes established by the legislation of Ukraine, as provided by the Law of Ukraine “On Consumer Protection”. When submitting a claim for free elimination of defects, the period for rectifying them begins from the date the Seller receives the Goods and has physical access to them. <\/p>

              <\/p>

              6.6. The Seller will consider claims provided by the Law of Ukraine “On Consumer Protection” only if the Buyer provides the documents required by the current legislation of Ukraine. The Seller is not liable for defects in the Goods that arise after they have been transferred to the Buyer due to the Buyer\u2019s violation of the rules for use or storage of the Goods, actions of third parties, or force majeure. <\/p>

              <\/p>

              6.7. The Buyer has no right to refuse goods of satisfactory quality that have individually defined properties, if the goods can only be used by the Buyer who purchased them (including non-standard sizes, characteristics, appearance, configuration, etc., at the Buyer\u2019s request). Confirmation that the goods have individually defined properties is the difference in the sizes and other characteristics specified on the Online Store website. <\/p>

              <\/p>

              6.8. The return of goods, in cases provided by law and this Agreement, is carried out at the address specified on the website in the “Contacts” section.<\/p>

              <\/p>

              1. Liability<\/li><\/ol>

                <\/p>

                7.1. The Seller is not responsible for any damage caused to the Buyer or third parties as a result of improper installation, use, or storage of the Goods purchased from the Seller. <\/p>

                <\/p>

                7.2. The Seller is not liable for improper or untimely fulfillment of Orders and its obligations if the Buyer provides inaccurate or incorrect information. <\/p>

                <\/p>

                7.3. The Seller and the Buyer are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement. <\/p>

                <\/p>

                7.4. The Seller or the Buyer is relieved from liability for full or partial non-fulfillment of their obligations if the failure to perform is a result of force majeure circumstances such as war or military actions, earthquakes, floods, fires, and other natural disasters that occur independently of the will of the Seller and\/or Buyer after the conclusion of this Agreement. The party unable to fulfill its obligations must promptly notify the other party. <\/p>

                <\/p>

                <\/p>

                1. Confidentiality and Protection of Personal Data<\/li><\/ol>

                  <\/p>

                  8.1. By providing their personal data on the Online Store website during registration or placing an Order, the Buyer gives the Seller their voluntary consent to process, use (including transfer), and perform other actions with their personal data as specified by the Law of Ukraine “On Personal Data Protection,” without any time limitation on such consent. <\/p>

                  <\/p>

                  8.2. The Seller undertakes not to disclose the information received from the Buyer. Disclosure of information to counterparties and third parties acting on behalf of the Seller, including for the fulfillment of obligations to the Buyer, is not considered a violation. This also applies in cases where disclosure of such information is required by the current legislation of Ukraine. <\/p>

                  <\/p>

                  8.3. The Buyer is responsible for keeping their personal data up to date. The Seller is not liable for poor performance or non-fulfillment of its obligations due to outdated or inaccurate information about the Buyer. <\/p>



                  <\/p>

                  1. Other Terms<\/li><\/ol>

                    <\/p>

                    9.1. This Agreement is concluded on the territory of Ukraine and is governed by the current legislation of Ukraine. <\/p>


                    9.2. Any disputes arising between the Buyer and the Seller shall be resolved through negotiations. If a resolution cannot be reached through negotiations, the Buyer and\/or Seller have the right to refer the dispute to the judicial authorities in accordance with the current legislation of Ukraine. <\/p>


                    9.3. The Seller has the right to make changes to this Agreement unilaterally, as provided in clause 5.2.1. of the Agreement. Additionally, changes to the Agreement may also be made by mutual consent of the Parties in the manner prescribed by the current legislation of Ukraine. <\/p>
